Sound X Vision Buyer Terms and Conditions
Thank you for your interest in participating in our auction. These Buyer Terms and Conditions (Terms) outline the agreement between you, the Bidder/Buyer, and Sound and Vision, LLC, a Nevada Limited Liability Company, DBA Sound X Vision (?SXV?) for all auctions held by SXV in any of the following formats based on the details of the auction which may include online at SXV.art, via telephone, by proxy, as well as via third party bidding platforms. By registering to bid or participating in an SXV auction, you agree to these Terms and Conditions as well as any additional guidelines provided on our website at www.SXV.art as well as announced before and during any live or online exclusive auction.
1. Auction Basics
1.1 Legally Binding Contract: Placing a bid at an SXV auction creates a legally binding contract between you and SXV, subject to final acceptance by SXV. The auctioneer?s announcement of the highest bid and Bidder number, or the close of an online auction, establishes this contract. All auctions are governed by these Terms, Nevada state laws, and federal regulations (e.g., 19 CFR Part 162).
1.2 Auction Formats: SXV offers live auctions (online or by phone), timed online auctions, and other formats. Each auction?s specific details will be outlined on our website.
1.3 Bidder Registration: To bid, you must be 18 years of age or older, unless you provide written consent from a parent or legal guardian, which SXV must verify prior to approving your registration. You must register with SXV and provide accurate information, including your full name, shipping address, billing address, phone number, email address, and credit card information. Credit card information must be provided even if you intend to pay by wire transfer or check, as SXV may use it to secure payment or cover fees in accordance with these Terms. As part of the registration process, you authorize SXV to verify your credit card information through a third-party payment processor, and a nominal charge (e.g., $1.00) may be applied to your card and subsequently credited back to complete this verification. First-time registrants are required to provide proof of identity through a valid government-issued identification document (e.g., driver?s license, passport), which will be verified by a third-party platform to ensure security and authenticity. SXV reserves the right, at its sole discretion, to approve or refuse any Bidder registration and is under no obligation to provide an explanation for any refusal. SXV will make reasonable efforts to maintain the confidentiality of your personal and financial information; however, SXV cannot guarantee that unauthorized third parties will not breach our security measures, and we shall not be liable for any such unauthorized access or disclosure. You are responsible for all bids placed under your Bidder number. If you register and bid through a third-party platform (e.g., iCollector and LiveAuctioneers, and related enrolled third-party platforms and their affiliated companies), additional terms, conditions, and fees may apply, as set by the third-party provider, and you agree to comply with their policies in addition to these Terms.
2. Bidding and Winning
2.1 Bidding Process:
2.1.1 Bidding Methods: Bids can be placed online at SXV.art, via third-party platforms (iCollector and LiveAuctioneers), or over the phone by pre-arrangement with SXV. All monetary amounts, including bids, are in U.S. dollars (USD). SXV may set bid increments and reserves the right to reject any bid.
2.1.2 Special Bidding Requirements: Certain lots, due to their higher value, may require special pre-approval to bid, and some may require a refundable deposit to be placed with SXV by wire transfer in advance of the live auction date; such requirements will be specified on our website. SXV may, through direct arrangement with Bidders prior to a live auction, accept absentee bids to place on behalf of Bidders unable to participate in the live auction; however, SXV is not liable for any failure to execute such bids due to errors or omissions on our part, including but not limited to technical issues, miscommunication, or oversight.
2.1.3 SXV?s Rights in Bidding: SXV reserves the right to decline and/or remove any bid at its sole discretion for any reason, with or without explanation. Bidders placing online bids or bids over the internet, whether through SXV.art or third-party platforms, acknowledge that such methods may experience technical glitches, delays, outages, or other issues, and SXV is not responsible for any consequences arising from reliance on this technology, which is not guaranteed to have 100% uptime or be free of disruptions.
2.1.4 Third-Party Platforms: SXV is not liable for any actions, errors, or disputes arising from the use of third-party platforms, including but not limited to technical failures, fee disputes, or platform-specific terms, which are the sole responsibility of the Bidder to resolve with the platform provider. The two third-party platforms available for this auction are iCollector and LiveAuctioneers (and any related platforms operated by these two companies). Please review any terms and conditions required by these companies outside of SXV?s own Terms and Conditions.
2.1.5 Anti-Collusion: Bidders are advised that it is unlawful to collude with other Bidders to manipulate the bidding outcome, including but not limited to engaging in bid rigging, shill bidding, or any other anti-competitive behavior intended to influence the auction process. SXV strictly prohibits such actions, and any Bidder found to be engaging in collusion or manipulation may be banned from future auctions, have their bids voided, and be subject to legal action under applicable laws, including Nevada?s Deceptive Trade Practices statutes (NRS 598). Third-party platforms may have their own terms, conditions, and fees, which apply in addition to SXV?s Terms; you are responsible for reviewing and adhering to these additional requirements.
2.2 Shill Bidding Prohibition: Bidders are prohibited from colluding with consignors or any third party to bid on lots in which they have a financial interest, including but not limited to shill bidding or other manipulative practices intended to artificially inflate the bidding price. If SXV determines, in its sole discretion, that a Bidder has engaged in such prohibited activity, SXV reserves the right to: (i) rescind the sale of any affected lot; (ii) retain any payments made by the Bidder as liquidated damages; (iii) ban the Bidder from future SXV auctions; and (iv) pursue further damages, including legal fees, for fraudulent activity.
2.3 Winning Bid: The highest bid accepted by the auctioneer at the fall of the hammer (or at the close of an online auction) wins the lot, provided any applicable reserve has been met, and subject to SXV?s discretion. For lots with a reserve price set by the consignor, SXV cannot sell the lot unless the bidding meets or exceeds this reserve. SXV reserves the right to place counterbids on behalf of the consignor against bids from registered Bidders to advance the bidding to meet the reserve for each lot with a reserve, ensuring the consignor?s minimum price is achieved. By placing a bid, you acknowledge and accept these Terms, and if you are the highest Bidder on any lot (assuming the reserve, if applicable, has been met), you are irrevocably obligated to complete the purchase. This obligation includes payment of the Hammer Price, the Buyer?s Premium, and any additional costs, which may include applicable sales tax, credit card fees, shipping costs, storage fees, customs duties, and other third-party costs as incurred, all of which are in U.S. dollars (USD). SXV reserves the right to withdraw any lot from the auction at any time, for any reason, with or without providing an explanation. In case of a dispute, SXV may re-offer the lot or award it at its sole discretion. If you bid through a third-party platform, their dispute resolution policies may also apply, but SXV?s decision remains final in all cases.
2.4 Buyer?s Premium: A Buyer?s Premium will be added to the Hammer Price of each lot, both in U.S. dollars (USD). For SXV auctions, the standard Buyer?s Premium is 25% of the Hammer Price.
However, exclusive to bids placed at SXV.art only, if a winning bid is placed 24 hours or more before the start of the live auction and that bid results is the winning bid for the lot, the Winning Bidder will receive a 5% reduction on the standard Buyer?s Premium, reducing it to 20% of the Hammer Price. For example, on a lot with a Hammer Price of $1,000, the standard Buyer?s Premium would be $250 (25%), but if the winning bid qualifies for the early bidding discount, the Buyer?s Premium would be reduced to $200 (20%).
Similarly (but not in addition to or cumulatively), again exclusive to bids placed at SXV.art only, if a Bidder places a bid on a lot 24 hours or more prior to the start of the live auction, is outbid, and later places the winning bid within the final 24 hour bidding window, the Winning Bidder will receive a 2% reduction on the Buyer?s Premium, reducing it to 23% of the Hammer Price.
These two discount options apply only to the SXV Buyer?s Premium and those bids placed at SXV.art and does not affect any additional fees imposed by third-party platforms where the standard Buyer?s Premium is 25%.
If bidding through a third-party platform (e.g., iCollector, LiveAuctioneers), additional fees may apply, as determined by the platform (please be sure to review their terms, policies, and costs for using their third-party platform(s)). Additionally, the third-party platform may include their Online Service Fee as a part of the Buyer?s Premium. Please check directly with these other companies to understand all fees and costs prior to bidding. You agree to pay these additional fees as part of your total purchase price. All applicable taxes, including Nevada sales tax, are the Buyer?s responsibility.
2.5 Online Service Fee: An Online Service Fee of 3% of the Hammer Price, in U.S. dollars (USD), is assessed to all Bidders who place bids online through SXV.art. Third-party bidding platforms such as LiveAuctioneers, iCollector, and their affiliated companies assess their own fees as per your Agreement with those companies when using their platform. Please be sure to review and read all of their terms and conditions.
This Online Service Fee is in addition to the Buyer?s Premium and any other applicable fees.
Bidders using third-party platforms should note that these platforms may impose higher Online Service Fees, as determined by the platform, which you agree to pay as part of your total purchase price. Third-party platforms may also assess their Online Service Fee as a part of the Buyer?s Premium rather than as a separate line item on your invoice.
No Online Service Fee applies to bids placed via telephone or as a proxy bid as managed by SXV on behalf of the Bidder.
2.6 Credit Card Processing Fee: An Credit Card Processing Fee of 3% of the Hammer Price, in U.S. dollars (USD), is assessed to all Bidders who remit payment for their invoice using a credit card as payment method. This fee is reduced from the fee charged to SXV from the credit card processing company (AuctionPay) which is 3.5% (i.e. SXV is reducing its fees by 0.5% to reduce the overall cost to the Winning Bidder).
Third-party bidding platforms such as LiveAuctioneers, iCollector, and their affiliates will assess their own fees as per your Agreement with those companies when using their platform and payment platform.
2.7 Sold Price Definition: The "Sold Price" refers to the total of the Hammer Price (the final bid amount accepted at the close of bidding) plus the Buyer?s Premium, both in U.S. dollars (USD).
Example: the Hammer Price on a lot of $10,000 would be shown as a Sold Price of $12,500 on the SXV.art website ($10,000 + 25% Buyer?s Premium = $12,500).
At the conclusion of bidding, the Sold Price will be displayed on the SXV.art website or the bidding platform used for the auction. Please note that the Sold Price does not include additional fees and costs, such as applicable sales tax, credit card fees, shipping costs, storage fees, customs duties, online service fees (if bidding via a third-party platform), or other third-party costs, which are the Buyer?s responsibility as outlined in these Terms.
2.8 No Withdrawal: Once a bid is placed, it cannot be withdrawn. SXV is not responsible for any errors you make during bidding, including technical issues on third-party platforms, which may also have their own policies regarding bid errors.
3. Payment
3.1 Payment Deadline: Winning Bidders must pay their invoices in full within 14 calendar days of the conclusion of the live auction. SXV does not offer payment plans or any extensions of payment terms. Full payment, in U.S. dollars (USD), includes the Hammer Price, Buyer?s Premium, any online service fees, third-party platform fees, and all applicable taxes or fees. SXV will charge the credit card provided at registration if payment is not received by this deadline. If you bid through a third-party platform, additional payment terms or processing fees may apply, as set by the platform.
3.2 Chargeback Prohibition: By agreeing to these Terms and Conditions, you, the registered Bidder, promise and warrant that you will not, under any circumstances, initiate a chargeback with your credit card issuer, bank, or any payment provider for any purchases made with SXV, including but not limited to the Hammer Price, Buyer?s Premium, online service fees, taxes, shipping costs, or any other charges associated with your auction purchase. You acknowledge that all sales are final (as stated in Section 7.2) and that filing a chargeback constitutes a material breach of this agreement. In the event you initiate a chargeback, you agree to: (i) immediately reimburse SXV for the full amount of the chargeback, including any associated fees or penalties imposed by the payment provider; (ii) indemnify and hold SXV harmless from any losses, damages, or expenses (including legal fees) arising from the chargeback; and (iii) waive any right to dispute the validity of your obligation to pay SXV for the purchase. SXV reserves the right to pursue all available legal remedies against you, including but not limited to seeking damages, injunctive relief, and recovery of legal fees, and may report the chargeback to credit bureaus or other authorities as permitted by law. This prohibition on chargebacks survives the termination of this agreement and applies to all transactions conducted with SXV.
3.3 Failure to Complete Purchase: If a Winning Bidder fails to pay their invoice in full within the 14-day payment period, SXV reserves the right to impose a late charge of 3% per month (or the maximum rate permitted by law) on the unpaid balance, calculated from the 15th day after the live auction?s conclusion until the invoice is paid in full, all in U.S. dollars (USD). Should the Winning Bidder default on payment at any point, they forfeit any funds paid to date, including deposits or partial payments, and SXV retains sole discretion to determine the disposition of the forfeited property, which may include reselling the items or otherwise disposing of them without further obligation to the Bidder. Winning Bidders who purchase multiple items on a single invoice are not permitted to pay a portion of the invoice and selectively choose which items to keep; the entire invoice must be paid in full before any property is released to the Bidder. SXV reserves the right to pursue all available legal remedies for non-payment, as outlined in Section 3.7.
3.4 Sales Tax: The Winning Bidder will be assessed sales tax, in U.S. dollars (USD) if they have their items shipped to an address within the State of Nevada. The applicable sales tax rate will be determined based on the pickup or delivery location, in accordance with Nevada state tax laws. Bidders are responsible for ensuring compliance with all tax obligations.
3.5 Accepted Payment Methods: Payment, in U.S. dollars (USD), can be made by bank wire, cashier?s check, personal check, American Express, Visa, or MasterCard. For payment methods requiring clearance and verification, such as personal checks, property will not be released until payment in full has been verified by SXV, which may delay retrieval or shipping. SXV vouchers or discount codes cannot be used for auction purchases. Third-party platforms may have their own payment methods or restrictions, which you agree to follow.
3.6 Title Transfer: Title to the lot passes to you only upon full payment of all amounts due, including any online service fees and third-party platform fees, all in U.S. dollars (USD). Until then, SXV retains possession of the lot, even if it has been released to you.
3.7 Non-Payment: If payment is not received within 14 days, SXV may cancel the sale, retain any deposits, and pursue legal remedies, including charging interest at 1.5% per month on the unpaid balance (in addition to the late charge outlined in Section 3.3), all in U.S. dollars (USD). SXV may also re-offer the lot and hold you liable for any shortfall. SXV is not responsible for a non-paying Bidder defaulting on payment, and you hold SXV harmless from any liability in the collection of payment, though SXV will make good faith efforts to collect funds due. In the event SXV has paid consignor proceeds and payment issues arise with the Bidder, title and all rights and interests in the lot will irrevocably transfer to SXV. Third-party platforms may impose additional penalties for non-payment, which you are responsible for addressing with the platform.
4. Shipping and Collection
4.1 Collection Deadline: You must collect your lot within 14 calendar days of the auction?s conclusion, unless you opt for in-person pickup as outlined below. After this period, SXV may charge storage fees of $5 per lot per day, in U.S. dollars (USD), or arrange shipping at your expense.
4.2 Fulfillment: The Winning Bidder is responsible for arranging shipping through SXV or a third party they authorize in advance. SXV offers shipping services and will provide the Winning Bidder with estimates for packing, shipping, and insurance costs upon request, all in U.S. dollars (USD). SXV will prioritize efforts for speedy shipping, especially when requested in writing, but fulfillment may take up to 6 weeks following the conclusion of a live auction for all items to be shipped. Certain items, due to size, value, or other factors, may require the Winning Bidder to arrange for a third-party shipping company to collect, pack, and ship the item(s); such requirements will be communicated by SXV.
4.3 International Shipping Risks: For Winning Bidders opting to ship their items internationally, additional costs and risks apply. These may include, but are not limited to, customs duties, import taxes, VAT, clearance fees, and other charges imposed by the destination country, all in U.S. dollars (USD) unless otherwise specified by the destination country, as well as potential delays, loss, damage, or seizure by customs authorities. SXV is not responsible for these additional costs, delays, or risks, and all such expenses and liabilities are the sole responsibility of the Winning Bidder. Bidders are strongly advised to conduct their own due diligence prior to bidding to ensure that their purchased items can be legally imported into their country, including compliance with all import regulations, restrictions, and prohibitions (e.g., restrictions on cultural artifacts, hazardous materials, weapons or other regulated items). SXV is not liable for any failure to deliver items due to customs issues, import bans, or other international shipping complications, and Bidders assume full responsibility for resolving such matters.
4.4 Shipping: SXV will arrange shipping upon request, but Winning Bidders are responsible for all shipping costs, including packaging, insurance, and any applicable duties or taxes, all in U.S. dollars (USD). If you bid through a third-party platform, additional shipping fees or requirements may apply, as set by the platform. SXV is not liable for damage or loss during shipping, though we?ll assist with insurance claims where possible.
4.5 Included Items: Only the memorabilia items shown in the lot?s photos are included. Display stands, mannequins, or scale measures are not included unless specified in the lot description.
5. Condition and Description of Lots
5.1 As-Is Sale: All lots are sold as is, where is, reflecting their condition at the time of the auction, with all faults, imperfections, and errors of description. Hollywood props and Rock X Roll artifacts are often unique and may show wear, tear, or imperfections due to age and use. SXV descriptions, images, and condition statements on our website are for illustrative purposes only and are not warranties. Bidders are solely responsible for conducting their own due diligence prior to the auction to ensure each prospective item satisfies their requirements as to authenticity, condition, fitness, value, rarity, quality, provenance, or any other factors. SXV makes no representations or warranties beyond those explicitly stated in these Terms or in the lot description, and Bidders assume all risks associated with their purchase, including the risk that the market value of collectibles may fluctuate due to market conditions, for which SXV is not responsible.
5.2 Inspection: We encourage you to inspect lots before bidding via online previews or e-mail inquiries. Independent professional advice is recommended if needed. SXV cannot guarantee the accuracy of colors in images.
5.3 Collectibles Only: All items are sold as collectibles or memorabilia for display purposes only. They are not intended for any other use, and you assume all risks of loss or injury arising from alternative uses.
5.3.1 Functional Features Disclaimer: Items with functional features, such as light-up elements, electronics, mechanics, sound effects, moving parts, interactive components, animatronics, chemical reactions, material-based functions (e.g., glow-in-the-dark or heat-sensitive materials), fitness or usability aspects (e.g., wearable gear or operable tools), or any other operable, mechanical, or dynamic attributes, are sold based solely on their intrinsic value as pop culture memorabilia and collectibles for display purposes. SXV makes no representations, warranties, or guarantees regarding the functionality, operability, or longevity of such features, either at the time of receipt or thereafter. Bidders assume all risks associated with any functional aspects, including failure due to age, wear, shipping, or environmental factors.
5.3.2 Material Condition Disclaimer: Items may include materials subject to natural deterioration over time, such as foam latex masks, fabrics, leather, wood, or other organic components, which may degrade, discolor, or lose structural integrity post-sale. These items are sold in the condition and operability observed at the conclusion of the auction on the sale date, and SXV provides no warranties or guarantees regarding their future condition or preservation. Bidders are responsible for any subsequent changes and are not entitled to refunds, returns, or adjustments based on material degradation.
6. Authenticity
6.1 SXV Guarantee: Every lot sold by SXV comes with a Certificate of Authenticity (COA), backed by our team?s decades of expertise. We stand by our authentication, but provenance and history are based on available information and may not be exhaustive.
6.2 No Additional Warranties: Beyond our COA, SXV makes no warranties or representations about a lot?s authenticity, provenance, or condition. Any reference images are for illustration only and do not constitute a warranty.
7. Disputes and Remedies
7.1 SXV Discretion: SXV reserves the right to withdraw any lot, cancel a sale, or re-offer a lot in case of disputes, errors, or misrepresentation. SXV?s decisions in such matters are final. If you bid through a third-party platform, their dispute resolution policies may also apply, but SXV retains ultimate authority over its auctions.
7.2 Final Sales: All sales are final. SXV does not offer refunds, returns, or exchanges under any circumstances, except as explicitly provided in Section 7.3 for authenticity or major catalog error disputes. By participating in an SXV auction and placing a bid, you acknowledge and agree that your purchase is non-refundable and non-returnable, regardless of any issues related to condition, authenticity, or other factors, except as otherwise explicitly stated in these Terms.
7.3 Authenticity, Title, and Catalog Error Disputes: SXV warrants the authenticity of each lot as backed by its Certificate of Authenticity (COA), per Section 6.1. In the event a Buyer raises a claim regarding the authenticity of an item, its title, or a major error in the catalog description (e.g., significant misrepresentation of the item?s identity or characteristics), SXV will evaluate such claims at its sole discretion. The Buyer must submit the claim in writing to info@SXV.art within 30 calendar days of receiving the item, providing detailed evidence, including credible documentation from three independent and qualified third-party experts supporting the claim. During the evaluation process, the Buyer is prohibited from reselling, transferring, or altering the item in any way, as doing so may void the claim. SXV retains the sole authority to evaluate and decide on the validity of the claim and may commission its own independent expert(s) to evaluate the claim, at SXV?s discretion. If SXV determines, in its sole discretion, that a mistake was made regarding authenticity, title, or a major catalog error occurred, SXV may, at its discretion, offer the Winning Bidder a partial or full refund, in U.S. dollars (USD). However, if significant time has passed since the auction and the item?s market value has increased, any refund will be capped at the original Sold Price (Hammer Price plus Buyer?s Premium) paid by the Buyer. SXV may recover any expenses incurred during the dispute process, such as third-party authentication fees or legal costs, from the consignor, or from the Buyer if the claim is found to be without merit, and SXV may retain possession of the lot until such costs are reimbursed. SXV?s decision on all such claims is final and binding.
7.4 Limitation of Liability: To the maximum extent permitted by law, SXV, its affiliates, contractors, agents, third parties, employees, officers, principals, and representatives shall not be liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to loss of profits, loss of use, or loss of data, arising out of or in connection with these Terms, your participation in an SXV auction, or the purchase, use, or inability to use any lot, even if SXV has been advised of the possibility of such damages. SXV?s total liability, if any, shall not exceed the purchase price (Hammer Price plus Buyer?s Premium) paid by you for the lot in question, in U.S. dollars (USD). This limitation applies to all claims, whether based on contract, tort, negligence, strict liability, or any other legal theory.
7.5 Indemnification: You agree to indemnify, defend, and hold harmless SXV, its affiliates, contractors, agents, third parties, employees, officers, principals, and representatives from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys? fees) arising out of or in connection with: (i) your participation in an SXV auction; (ii) your breach of these Terms or any applicable laws; (iii) your use, misuse, or inability to use any lot purchased; (iv) any misrepresentation made by you; or (v) any third-party claims related to your actions or omissions. This indemnification obligation survives the termination of this agreement.
7.6 Arbitration and Waiver of Jury Trial: By agreeing to these Terms, all registrants agree that any dispute, controversy, or claim arising out of or relating to these Terms, your participation in an SXV auction, or any aspect of your relationship with SXV, including but not limited to disputes over authenticity, catalog errors, payment, or the purchase or use of any lot, shall be resolved exclusively through binding arbitration in the State of Nevada. The arbitration shall be conducted in Clark County, Nevada, in accordance with the rules of the American Arbitration Association (AAA) then in effect. The arbitration shall be conducted by a single arbitrator on an individual basis, and the arbitrator?s decision shall be final and binding on all parties. You expressly waive any right to a court proceeding or jury trial with respect to any such dispute, controversy, or claim, and agree that arbitration in Nevada is the sole and exclusive method of dispute resolution. You also waive any right to participate in a class action, collective arbitration, or other representative proceeding against SXV, agreeing that all disputes will be resolved on an individual basis only. Each party shall bear its own costs and fees associated with the arbitration, unless otherwise determined by the arbitrator. This arbitration agreement survives the termination of this agreement.
7.7 Governing Law: These Terms are governed by the laws of the State of Nevada, without regard to its conflict of laws principles. Notwithstanding the arbitration clause in Section 7.6, any legal action to enforce the arbitration agreement or award shall be resolved in the state or federal courts of Clark County, Nevada, and you agree to submit to their jurisdiction.
8. Additional Policies
8.1 Intellectual Property: SXV respects the intellectual property rights associated with lots (e.g., designs, logos). Your purchase grants you ownership of the physical item, not any associated intellectual property rights. You understand and acknowledge that you acquire no intellectual property rights, copyrights, trademarks, or similar rights with any item purchased at auction unless explicitly stated in the lot description. Any use of intellectual property associated with a lot beyond personal display purposes requires the express permission of the rights holder. SXV retains copyright and an exclusive worldwide royalty-free license over all visual and audio collateral (e.g., photographs, videos) created by SXV for marketing the lots, which may be used for future purposes unrelated to the auction. You warrant that your use of the lot will not infringe any third-party intellectual property rights, and you agree to indemnify SXV against any claims arising from such infringement.
8.2 Privacy: By registering, you agree to SXV?s Privacy Policy, available at www.SXV.art. We may use your information to process bids, payments, and future auction notifications. Third-party platforms have their own privacy policies, which you agree to by using their services.
8.3 Anti-Money Laundering Compliance: By participating in an SXV auction, you declare and warrant that your purchase and participation are not being undertaken to facilitate money laundering, terrorist financing, or any other illegal activity. You agree to comply with all applicable anti-money laundering (AML) laws and regulations, including but not limited to the U.S. Bank Secrecy Act and Nevada state laws. You represent that the funds used for your purchase are from legitimate sources and are not derived from any unlawful activity. SXV reserves the right to refuse or cancel any transaction if it suspects, in its sole discretion, that the transaction may be related to money laundering or other illegal activities, and may report such suspicions to the appropriate authorities as required by law. You agree to indemnify and hold SXV harmless from any claims, losses, or liabilities arising from your failure to comply with AML laws or from any misrepresentation regarding the source of funds used in your purchase.
8.4 Confidentiality and Non-Disparagement: You agree to keep all details related to the auction, including bidding processes, lot details, and any communications with SXV, confidential and not disclose such information to third parties without SXV?s prior written consent. You further agree not to make any disparaging statements, whether written, oral, or electronic, about SXV, its services, employees, affiliates, or the auction process, during or after your participation in an SXV auction. SXV reserves the right to seek equitable relief (including injunctive relief and monetary damages) in the event of any breach of confidentiality or disparagement.
8.5 Opt-Out of Email Communications: If you wish to opt out of receiving future email communications from SXV, such as auction notifications or promotional materials, you may do so by sending a written request to info@SXV.art. Please include your full name and email address in the request to ensure accurate processing. SXV will process your opt-out request promptly, but please allow up to 10 business days for the change to take effect. Note that opting out will not affect transactional emails related to your auction participation, such as payment confirmations or shipping updates.
8.6 Force Majeure: SXV shall not be liable for any delay or failure to perform its obligations under these Terms, including but not limited to conducting auctions, delivering lots, or providing customer support, if such delay or failure is caused by events beyond SXV?s reasonable control, including but not limited to natural disasters, pandemics, acts of God, war, terrorism, government actions, labor disputes, power outages, or internet failures. In such cases, SXV will make reasonable efforts to mitigate the impact, but shall not be obligated to provide refunds, credits, or other remedies unless explicitly required by law.
8.7 Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its intent. If such modification is not possible, the provision shall be severed, and the remaining provisions of these Terms shall remain in full force and effect.
8.8 Changes to Terms: SXV may update these Terms at any time, with changes effective upon posting on our website. Your participation in an auction after such changes constitutes acceptance of the updated Terms. Third-party platforms may also update their terms, which you are responsible for reviewing.

Thank you for your interest in participating in our auction. These Buyer Terms and Conditions (Terms) outline the agreement between you, the Bidder/Buyer, and Sound and Vision, LLC, a Nevada Limited Liability Company, DBA Sound X Vision (?SXV?) for all auctions held by SXV in any of the following formats based on the details of the auction which may include online at SXV.art, via telephone, by proxy, as well as via third party bidding platforms. By registering to bid or participating in an SXV auction, you agree to these Terms and Conditions as well as any additional guidelines provided on our website at www.SXV.art as well as announced before and during any live or online exclusive auction.
1. Auction Basics
1.1 Legally Binding Contract: Placing a bid at an SXV auction creates a legally binding contract between you and SXV, subject to final acceptance by SXV. The auctioneer?s announcement of the highest bid and Bidder number, or the close of an online auction, establishes this contract. All auctions are governed by these Terms, Nevada state laws, and federal regulations (e.g., 19 CFR Part 162).
1.2 Auction Formats: SXV offers live auctions (online or by phone), timed online auctions, and other formats. Each auction?s specific details will be outlined on our website.
1.3 Bidder Registration: To bid, you must be 18 years of age or older, unless you provide written consent from a parent or legal guardian, which SXV must verify prior to approving your registration. You must register with SXV and provide accurate information, including your full name, shipping address, billing address, phone number, email address, and credit card information. Credit card information must be provided even if you intend to pay by wire transfer or check, as SXV may use it to secure payment or cover fees in accordance with these Terms. As part of the registration process, you authorize SXV to verify your credit card information through a third-party payment processor, and a nominal charge (e.g., $1.00) may be applied to your card and subsequently credited back to complete this verification. First-time registrants are required to provide proof of identity through a valid government-issued identification document (e.g., driver?s license, passport), which will be verified by a third-party platform to ensure security and authenticity. SXV reserves the right, at its sole discretion, to approve or refuse any Bidder registration and is under no obligation to provide an explanation for any refusal. SXV will make reasonable efforts to maintain the confidentiality of your personal and financial information; however, SXV cannot guarantee that unauthorized third parties will not breach our security measures, and we shall not be liable for any such unauthorized access or disclosure. You are responsible for all bids placed under your Bidder number. If you register and bid through a third-party platform (e.g., iCollector and LiveAuctioneers, and related enrolled third-party platforms and their affiliated companies), additional terms, conditions, and fees may apply, as set by the third-party provider, and you agree to comply with their policies in addition to these Terms.
2. Bidding and Winning
2.1 Bidding Process:
2.1.1 Bidding Methods: Bids can be placed online at SXV.art, via third-party platforms (iCollector and LiveAuctioneers), or over the phone by pre-arrangement with SXV. All monetary amounts, including bids, are in U.S. dollars (USD). SXV may set bid increments and reserves the right to reject any bid.
2.1.2 Special Bidding Requirements: Certain lots, due to their higher value, may require special pre-approval to bid, and some may require a refundable deposit to be placed with SXV by wire transfer in advance of the live auction date; such requirements will be specified on our website. SXV may, through direct arrangement with Bidders prior to a live auction, accept absentee bids to place on behalf of Bidders unable to participate in the live auction; however, SXV is not liable for any failure to execute such bids due to errors or omissions on our part, including but not limited to technical issues, miscommunication, or oversight.
2.1.3 SXV?s Rights in Bidding: SXV reserves the right to decline and/or remove any bid at its sole discretion for any reason, with or without explanation. Bidders placing online bids or bids over the internet, whether through SXV.art or third-party platforms, acknowledge that such methods may experience technical glitches, delays, outages, or other issues, and SXV is not responsible for any consequences arising from reliance on this technology, which is not guaranteed to have 100% uptime or be free of disruptions.
2.1.4 Third-Party Platforms: SXV is not liable for any actions, errors, or disputes arising from the use of third-party platforms, including but not limited to technical failures, fee disputes, or platform-specific terms, which are the sole responsibility of the Bidder to resolve with the platform provider. The two third-party platforms available for this auction are iCollector and LiveAuctioneers (and any related platforms operated by these two companies). Please review any terms and conditions required by these companies outside of SXV?s own Terms and Conditions.
2.1.5 Anti-Collusion: Bidders are advised that it is unlawful to collude with other Bidders to manipulate the bidding outcome, including but not limited to engaging in bid rigging, shill bidding, or any other anti-competitive behavior intended to influence the auction process. SXV strictly prohibits such actions, and any Bidder found to be engaging in collusion or manipulation may be banned from future auctions, have their bids voided, and be subject to legal action under applicable laws, including Nevada?s Deceptive Trade Practices statutes (NRS 598). Third-party platforms may have their own terms, conditions, and fees, which apply in addition to SXV?s Terms; you are responsible for reviewing and adhering to these additional requirements.
2.2 Shill Bidding Prohibition: Bidders are prohibited from colluding with consignors or any third party to bid on lots in which they have a financial interest, including but not limited to shill bidding or other manipulative practices intended to artificially inflate the bidding price. If SXV determines, in its sole discretion, that a Bidder has engaged in such prohibited activity, SXV reserves the right to: (i) rescind the sale of any affected lot; (ii) retain any payments made by the Bidder as liquidated damages; (iii) ban the Bidder from future SXV auctions; and (iv) pursue further damages, including legal fees, for fraudulent activity.
2.3 Winning Bid: The highest bid accepted by the auctioneer at the fall of the hammer (or at the close of an online auction) wins the lot, provided any applicable reserve has been met, and subject to SXV?s discretion. For lots with a reserve price set by the consignor, SXV cannot sell the lot unless the bidding meets or exceeds this reserve. SXV reserves the right to place counterbids on behalf of the consignor against bids from registered Bidders to advance the bidding to meet the reserve for each lot with a reserve, ensuring the consignor?s minimum price is achieved. By placing a bid, you acknowledge and accept these Terms, and if you are the highest Bidder on any lot (assuming the reserve, if applicable, has been met), you are irrevocably obligated to complete the purchase. This obligation includes payment of the Hammer Price, the Buyer?s Premium, and any additional costs, which may include applicable sales tax, credit card fees, shipping costs, storage fees, customs duties, and other third-party costs as incurred, all of which are in U.S. dollars (USD). SXV reserves the right to withdraw any lot from the auction at any time, for any reason, with or without providing an explanation. In case of a dispute, SXV may re-offer the lot or award it at its sole discretion. If you bid through a third-party platform, their dispute resolution policies may also apply, but SXV?s decision remains final in all cases.
2.4 Buyer?s Premium: A Buyer?s Premium will be added to the Hammer Price of each lot, both in U.S. dollars (USD). For SXV auctions, the standard Buyer?s Premium is 25% of the Hammer Price.
However, exclusive to bids placed at SXV.art only, if a winning bid is placed 24 hours or more before the start of the live auction and that bid results is the winning bid for the lot, the Winning Bidder will receive a 5% reduction on the standard Buyer?s Premium, reducing it to 20% of the Hammer Price. For example, on a lot with a Hammer Price of $1,000, the standard Buyer?s Premium would be $250 (25%), but if the winning bid qualifies for the early bidding discount, the Buyer?s Premium would be reduced to $200 (20%).
Similarly (but not in addition to or cumulatively), again exclusive to bids placed at SXV.art only, if a Bidder places a bid on a lot 24 hours or more prior to the start of the live auction, is outbid, and later places the winning bid within the final 24 hour bidding window, the Winning Bidder will receive a 2% reduction on the Buyer?s Premium, reducing it to 23% of the Hammer Price.
These two discount options apply only to the SXV Buyer?s Premium and those bids placed at SXV.art and does not affect any additional fees imposed by third-party platforms where the standard Buyer?s Premium is 25%.
If bidding through a third-party platform (e.g., iCollector, LiveAuctioneers), additional fees may apply, as determined by the platform (please be sure to review their terms, policies, and costs for using their third-party platform(s)). Additionally, the third-party platform may include their Online Service Fee as a part of the Buyer?s Premium. Please check directly with these other companies to understand all fees and costs prior to bidding. You agree to pay these additional fees as part of your total purchase price. All applicable taxes, including Nevada sales tax, are the Buyer?s responsibility.
2.5 Online Service Fee: An Online Service Fee of 3% of the Hammer Price, in U.S. dollars (USD), is assessed to all Bidders who place bids online through SXV.art. Third-party bidding platforms such as LiveAuctioneers, iCollector, and their affiliated companies assess their own fees as per your Agreement with those companies when using their platform. Please be sure to review and read all of their terms and conditions.
This Online Service Fee is in addition to the Buyer?s Premium and any other applicable fees.
Bidders using third-party platforms should note that these platforms may impose higher Online Service Fees, as determined by the platform, which you agree to pay as part of your total purchase price. Third-party platforms may also assess their Online Service Fee as a part of the Buyer?s Premium rather than as a separate line item on your invoice.
No Online Service Fee applies to bids placed via telephone or as a proxy bid as managed by SXV on behalf of the Bidder.
2.6 Credit Card Processing Fee: An Credit Card Processing Fee of 3% of the Hammer Price, in U.S. dollars (USD), is assessed to all Bidders who remit payment for their invoice using a credit card as payment method. This fee is reduced from the fee charged to SXV from the credit card processing company (AuctionPay) which is 3.5% (i.e. SXV is reducing its fees by 0.5% to reduce the overall cost to the Winning Bidder).
Third-party bidding platforms such as LiveAuctioneers, iCollector, and their affiliates will assess their own fees as per your Agreement with those companies when using their platform and payment platform.
2.7 Sold Price Definition: The "Sold Price" refers to the total of the Hammer Price (the final bid amount accepted at the close of bidding) plus the Buyer?s Premium, both in U.S. dollars (USD).
Example: the Hammer Price on a lot of $10,000 would be shown as a Sold Price of $12,500 on the SXV.art website ($10,000 + 25% Buyer?s Premium = $12,500).
At the conclusion of bidding, the Sold Price will be displayed on the SXV.art website or the bidding platform used for the auction. Please note that the Sold Price does not include additional fees and costs, such as applicable sales tax, credit card fees, shipping costs, storage fees, customs duties, online service fees (if bidding via a third-party platform), or other third-party costs, which are the Buyer?s responsibility as outlined in these Terms.
2.8 No Withdrawal: Once a bid is placed, it cannot be withdrawn. SXV is not responsible for any errors you make during bidding, including technical issues on third-party platforms, which may also have their own policies regarding bid errors.
3. Payment
3.1 Payment Deadline: Winning Bidders must pay their invoices in full within 14 calendar days of the conclusion of the live auction. SXV does not offer payment plans or any extensions of payment terms. Full payment, in U.S. dollars (USD), includes the Hammer Price, Buyer?s Premium, any online service fees, third-party platform fees, and all applicable taxes or fees. SXV will charge the credit card provided at registration if payment is not received by this deadline. If you bid through a third-party platform, additional payment terms or processing fees may apply, as set by the platform.
3.2 Chargeback Prohibition: By agreeing to these Terms and Conditions, you, the registered Bidder, promise and warrant that you will not, under any circumstances, initiate a chargeback with your credit card issuer, bank, or any payment provider for any purchases made with SXV, including but not limited to the Hammer Price, Buyer?s Premium, online service fees, taxes, shipping costs, or any other charges associated with your auction purchase. You acknowledge that all sales are final (as stated in Section 7.2) and that filing a chargeback constitutes a material breach of this agreement. In the event you initiate a chargeback, you agree to: (i) immediately reimburse SXV for the full amount of the chargeback, including any associated fees or penalties imposed by the payment provider; (ii) indemnify and hold SXV harmless from any losses, damages, or expenses (including legal fees) arising from the chargeback; and (iii) waive any right to dispute the validity of your obligation to pay SXV for the purchase. SXV reserves the right to pursue all available legal remedies against you, including but not limited to seeking damages, injunctive relief, and recovery of legal fees, and may report the chargeback to credit bureaus or other authorities as permitted by law. This prohibition on chargebacks survives the termination of this agreement and applies to all transactions conducted with SXV.
3.3 Failure to Complete Purchase: If a Winning Bidder fails to pay their invoice in full within the 14-day payment period, SXV reserves the right to impose a late charge of 3% per month (or the maximum rate permitted by law) on the unpaid balance, calculated from the 15th day after the live auction?s conclusion until the invoice is paid in full, all in U.S. dollars (USD). Should the Winning Bidder default on payment at any point, they forfeit any funds paid to date, including deposits or partial payments, and SXV retains sole discretion to determine the disposition of the forfeited property, which may include reselling the items or otherwise disposing of them without further obligation to the Bidder. Winning Bidders who purchase multiple items on a single invoice are not permitted to pay a portion of the invoice and selectively choose which items to keep; the entire invoice must be paid in full before any property is released to the Bidder. SXV reserves the right to pursue all available legal remedies for non-payment, as outlined in Section 3.7.
3.4 Sales Tax: The Winning Bidder will be assessed sales tax, in U.S. dollars (USD) if they have their items shipped to an address within the State of Nevada. The applicable sales tax rate will be determined based on the pickup or delivery location, in accordance with Nevada state tax laws. Bidders are responsible for ensuring compliance with all tax obligations.
3.5 Accepted Payment Methods: Payment, in U.S. dollars (USD), can be made by bank wire, cashier?s check, personal check, American Express, Visa, or MasterCard. For payment methods requiring clearance and verification, such as personal checks, property will not be released until payment in full has been verified by SXV, which may delay retrieval or shipping. SXV vouchers or discount codes cannot be used for auction purchases. Third-party platforms may have their own payment methods or restrictions, which you agree to follow.
3.6 Title Transfer: Title to the lot passes to you only upon full payment of all amounts due, including any online service fees and third-party platform fees, all in U.S. dollars (USD). Until then, SXV retains possession of the lot, even if it has been released to you.
3.7 Non-Payment: If payment is not received within 14 days, SXV may cancel the sale, retain any deposits, and pursue legal remedies, including charging interest at 1.5% per month on the unpaid balance (in addition to the late charge outlined in Section 3.3), all in U.S. dollars (USD). SXV may also re-offer the lot and hold you liable for any shortfall. SXV is not responsible for a non-paying Bidder defaulting on payment, and you hold SXV harmless from any liability in the collection of payment, though SXV will make good faith efforts to collect funds due. In the event SXV has paid consignor proceeds and payment issues arise with the Bidder, title and all rights and interests in the lot will irrevocably transfer to SXV. Third-party platforms may impose additional penalties for non-payment, which you are responsible for addressing with the platform.
4. Shipping and Collection
4.1 Collection Deadline: You must collect your lot within 14 calendar days of the auction?s conclusion, unless you opt for in-person pickup as outlined below. After this period, SXV may charge storage fees of $5 per lot per day, in U.S. dollars (USD), or arrange shipping at your expense.
4.2 Fulfillment: The Winning Bidder is responsible for arranging shipping through SXV or a third party they authorize in advance. SXV offers shipping services and will provide the Winning Bidder with estimates for packing, shipping, and insurance costs upon request, all in U.S. dollars (USD). SXV will prioritize efforts for speedy shipping, especially when requested in writing, but fulfillment may take up to 6 weeks following the conclusion of a live auction for all items to be shipped. Certain items, due to size, value, or other factors, may require the Winning Bidder to arrange for a third-party shipping company to collect, pack, and ship the item(s); such requirements will be communicated by SXV.
4.3 International Shipping Risks: For Winning Bidders opting to ship their items internationally, additional costs and risks apply. These may include, but are not limited to, customs duties, import taxes, VAT, clearance fees, and other charges imposed by the destination country, all in U.S. dollars (USD) unless otherwise specified by the destination country, as well as potential delays, loss, damage, or seizure by customs authorities. SXV is not responsible for these additional costs, delays, or risks, and all such expenses and liabilities are the sole responsibility of the Winning Bidder. Bidders are strongly advised to conduct their own due diligence prior to bidding to ensure that their purchased items can be legally imported into their country, including compliance with all import regulations, restrictions, and prohibitions (e.g., restrictions on cultural artifacts, hazardous materials, weapons or other regulated items). SXV is not liable for any failure to deliver items due to customs issues, import bans, or other international shipping complications, and Bidders assume full responsibility for resolving such matters.
4.4 Shipping: SXV will arrange shipping upon request, but Winning Bidders are responsible for all shipping costs, including packaging, insurance, and any applicable duties or taxes, all in U.S. dollars (USD). If you bid through a third-party platform, additional shipping fees or requirements may apply, as set by the platform. SXV is not liable for damage or loss during shipping, though we?ll assist with insurance claims where possible.
4.5 Included Items: Only the memorabilia items shown in the lot?s photos are included. Display stands, mannequins, or scale measures are not included unless specified in the lot description.
5. Condition and Description of Lots
5.1 As-Is Sale: All lots are sold as is, where is, reflecting their condition at the time of the auction, with all faults, imperfections, and errors of description. Hollywood props and Rock X Roll artifacts are often unique and may show wear, tear, or imperfections due to age and use. SXV descriptions, images, and condition statements on our website are for illustrative purposes only and are not warranties. Bidders are solely responsible for conducting their own due diligence prior to the auction to ensure each prospective item satisfies their requirements as to authenticity, condition, fitness, value, rarity, quality, provenance, or any other factors. SXV makes no representations or warranties beyond those explicitly stated in these Terms or in the lot description, and Bidders assume all risks associated with their purchase, including the risk that the market value of collectibles may fluctuate due to market conditions, for which SXV is not responsible.
5.2 Inspection: We encourage you to inspect lots before bidding via online previews or e-mail inquiries. Independent professional advice is recommended if needed. SXV cannot guarantee the accuracy of colors in images.
5.3 Collectibles Only: All items are sold as collectibles or memorabilia for display purposes only. They are not intended for any other use, and you assume all risks of loss or injury arising from alternative uses.
5.3.1 Functional Features Disclaimer: Items with functional features, such as light-up elements, electronics, mechanics, sound effects, moving parts, interactive components, animatronics, chemical reactions, material-based functions (e.g., glow-in-the-dark or heat-sensitive materials), fitness or usability aspects (e.g., wearable gear or operable tools), or any other operable, mechanical, or dynamic attributes, are sold based solely on their intrinsic value as pop culture memorabilia and collectibles for display purposes. SXV makes no representations, warranties, or guarantees regarding the functionality, operability, or longevity of such features, either at the time of receipt or thereafter. Bidders assume all risks associated with any functional aspects, including failure due to age, wear, shipping, or environmental factors.
5.3.2 Material Condition Disclaimer: Items may include materials subject to natural deterioration over time, such as foam latex masks, fabrics, leather, wood, or other organic components, which may degrade, discolor, or lose structural integrity post-sale. These items are sold in the condition and operability observed at the conclusion of the auction on the sale date, and SXV provides no warranties or guarantees regarding their future condition or preservation. Bidders are responsible for any subsequent changes and are not entitled to refunds, returns, or adjustments based on material degradation.
6. Authenticity
6.1 SXV Guarantee: Every lot sold by SXV comes with a Certificate of Authenticity (COA), backed by our team?s decades of expertise. We stand by our authentication, but provenance and history are based on available information and may not be exhaustive.
6.2 No Additional Warranties: Beyond our COA, SXV makes no warranties or representations about a lot?s authenticity, provenance, or condition. Any reference images are for illustration only and do not constitute a warranty.
7. Disputes and Remedies
7.1 SXV Discretion: SXV reserves the right to withdraw any lot, cancel a sale, or re-offer a lot in case of disputes, errors, or misrepresentation. SXV?s decisions in such matters are final. If you bid through a third-party platform, their dispute resolution policies may also apply, but SXV retains ultimate authority over its auctions.
7.2 Final Sales: All sales are final. SXV does not offer refunds, returns, or exchanges under any circumstances, except as explicitly provided in Section 7.3 for authenticity or major catalog error disputes. By participating in an SXV auction and placing a bid, you acknowledge and agree that your purchase is non-refundable and non-returnable, regardless of any issues related to condition, authenticity, or other factors, except as otherwise explicitly stated in these Terms.
7.3 Authenticity, Title, and Catalog Error Disputes: SXV warrants the authenticity of each lot as backed by its Certificate of Authenticity (COA), per Section 6.1. In the event a Buyer raises a claim regarding the authenticity of an item, its title, or a major error in the catalog description (e.g., significant misrepresentation of the item?s identity or characteristics), SXV will evaluate such claims at its sole discretion. The Buyer must submit the claim in writing to info@SXV.art within 30 calendar days of receiving the item, providing detailed evidence, including credible documentation from three independent and qualified third-party experts supporting the claim. During the evaluation process, the Buyer is prohibited from reselling, transferring, or altering the item in any way, as doing so may void the claim. SXV retains the sole authority to evaluate and decide on the validity of the claim and may commission its own independent expert(s) to evaluate the claim, at SXV?s discretion. If SXV determines, in its sole discretion, that a mistake was made regarding authenticity, title, or a major catalog error occurred, SXV may, at its discretion, offer the Winning Bidder a partial or full refund, in U.S. dollars (USD). However, if significant time has passed since the auction and the item?s market value has increased, any refund will be capped at the original Sold Price (Hammer Price plus Buyer?s Premium) paid by the Buyer. SXV may recover any expenses incurred during the dispute process, such as third-party authentication fees or legal costs, from the consignor, or from the Buyer if the claim is found to be without merit, and SXV may retain possession of the lot until such costs are reimbursed. SXV?s decision on all such claims is final and binding.
7.4 Limitation of Liability: To the maximum extent permitted by law, SXV, its affiliates, contractors, agents, third parties, employees, officers, principals, and representatives shall not be liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to loss of profits, loss of use, or loss of data, arising out of or in connection with these Terms, your participation in an SXV auction, or the purchase, use, or inability to use any lot, even if SXV has been advised of the possibility of such damages. SXV?s total liability, if any, shall not exceed the purchase price (Hammer Price plus Buyer?s Premium) paid by you for the lot in question, in U.S. dollars (USD). This limitation applies to all claims, whether based on contract, tort, negligence, strict liability, or any other legal theory.
7.5 Indemnification: You agree to indemnify, defend, and hold harmless SXV, its affiliates, contractors, agents, third parties, employees, officers, principals, and representatives from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys? fees) arising out of or in connection with: (i) your participation in an SXV auction; (ii) your breach of these Terms or any applicable laws; (iii) your use, misuse, or inability to use any lot purchased; (iv) any misrepresentation made by you; or (v) any third-party claims related to your actions or omissions. This indemnification obligation survives the termination of this agreement.
7.6 Arbitration and Waiver of Jury Trial: By agreeing to these Terms, all registrants agree that any dispute, controversy, or claim arising out of or relating to these Terms, your participation in an SXV auction, or any aspect of your relationship with SXV, including but not limited to disputes over authenticity, catalog errors, payment, or the purchase or use of any lot, shall be resolved exclusively through binding arbitration in the State of Nevada. The arbitration shall be conducted in Clark County, Nevada, in accordance with the rules of the American Arbitration Association (AAA) then in effect. The arbitration shall be conducted by a single arbitrator on an individual basis, and the arbitrator?s decision shall be final and binding on all parties. You expressly waive any right to a court proceeding or jury trial with respect to any such dispute, controversy, or claim, and agree that arbitration in Nevada is the sole and exclusive method of dispute resolution. You also waive any right to participate in a class action, collective arbitration, or other representative proceeding against SXV, agreeing that all disputes will be resolved on an individual basis only. Each party shall bear its own costs and fees associated with the arbitration, unless otherwise determined by the arbitrator. This arbitration agreement survives the termination of this agreement.
7.7 Governing Law: These Terms are governed by the laws of the State of Nevada, without regard to its conflict of laws principles. Notwithstanding the arbitration clause in Section 7.6, any legal action to enforce the arbitration agreement or award shall be resolved in the state or federal courts of Clark County, Nevada, and you agree to submit to their jurisdiction.
8. Additional Policies
8.1 Intellectual Property: SXV respects the intellectual property rights associated with lots (e.g., designs, logos). Your purchase grants you ownership of the physical item, not any associated intellectual property rights. You understand and acknowledge that you acquire no intellectual property rights, copyrights, trademarks, or similar rights with any item purchased at auction unless explicitly stated in the lot description. Any use of intellectual property associated with a lot beyond personal display purposes requires the express permission of the rights holder. SXV retains copyright and an exclusive worldwide royalty-free license over all visual and audio collateral (e.g., photographs, videos) created by SXV for marketing the lots, which may be used for future purposes unrelated to the auction. You warrant that your use of the lot will not infringe any third-party intellectual property rights, and you agree to indemnify SXV against any claims arising from such infringement.
8.2 Privacy: By registering, you agree to SXV?s Privacy Policy, available at www.SXV.art. We may use your information to process bids, payments, and future auction notifications. Third-party platforms have their own privacy policies, which you agree to by using their services.
8.3 Anti-Money Laundering Compliance: By participating in an SXV auction, you declare and warrant that your purchase and participation are not being undertaken to facilitate money laundering, terrorist financing, or any other illegal activity. You agree to comply with all applicable anti-money laundering (AML) laws and regulations, including but not limited to the U.S. Bank Secrecy Act and Nevada state laws. You represent that the funds used for your purchase are from legitimate sources and are not derived from any unlawful activity. SXV reserves the right to refuse or cancel any transaction if it suspects, in its sole discretion, that the transaction may be related to money laundering or other illegal activities, and may report such suspicions to the appropriate authorities as required by law. You agree to indemnify and hold SXV harmless from any claims, losses, or liabilities arising from your failure to comply with AML laws or from any misrepresentation regarding the source of funds used in your purchase.
8.4 Confidentiality and Non-Disparagement: You agree to keep all details related to the auction, including bidding processes, lot details, and any communications with SXV, confidential and not disclose such information to third parties without SXV?s prior written consent. You further agree not to make any disparaging statements, whether written, oral, or electronic, about SXV, its services, employees, affiliates, or the auction process, during or after your participation in an SXV auction. SXV reserves the right to seek equitable relief (including injunctive relief and monetary damages) in the event of any breach of confidentiality or disparagement.
8.5 Opt-Out of Email Communications: If you wish to opt out of receiving future email communications from SXV, such as auction notifications or promotional materials, you may do so by sending a written request to info@SXV.art. Please include your full name and email address in the request to ensure accurate processing. SXV will process your opt-out request promptly, but please allow up to 10 business days for the change to take effect. Note that opting out will not affect transactional emails related to your auction participation, such as payment confirmations or shipping updates.
8.6 Force Majeure: SXV shall not be liable for any delay or failure to perform its obligations under these Terms, including but not limited to conducting auctions, delivering lots, or providing customer support, if such delay or failure is caused by events beyond SXV?s reasonable control, including but not limited to natural disasters, pandemics, acts of God, war, terrorism, government actions, labor disputes, power outages, or internet failures. In such cases, SXV will make reasonable efforts to mitigate the impact, but shall not be obligated to provide refunds, credits, or other remedies unless explicitly required by law.
8.7 Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its intent. If such modification is not possible, the provision shall be severed, and the remaining provisions of these Terms shall remain in full force and effect.
8.8 Changes to Terms: SXV may update these Terms at any time, with changes effective upon posting on our website. Your participation in an auction after such changes constitutes acceptance of the updated Terms. Third-party platforms may also update their terms, which you are responsible for reviewing.
